ARTICLE I - PURPOSE and DEFINITION
Section 1. PURPOSE:
The purpose of this club, and hereinafter called Fredericksburg Area Lodging and Hospitality Association [aka: FAL&HA], shall be to promote the lodging and hospitality industries in the Fredericksburg Texas area and to promote higher standards in the lodging and hospitality industry through proactive community involvement. Also, to educate the public and serve as an accurate source of information concerning the Fredericksburg hospitality industry through constant teaching, advertising, and web publishing. In addition, to facilitate proactive involvement of the Fredericksburg Area Hospitality Industry in the activities of the Fredericksburg Chamber of Commerce and the Fredericksburg Convention & Visitors Bureau.
Section 2. DEFINITIONS:
The term “Fredericksburg area” refers to the area bounded by the City of Fredericksburg Texas, Gillespie County Texas, and the counties having a common border with Gillespie County Texas.
The term “lodging industry” refers to any business activity that provides lodging or short-term accommodations for travelers, vacationers, and others. Some of these establishments may provide lodging only, while others provide meals, laundry services, and recreational facilities, as well as lodging.
The term “hospitality industry” refers to any business activity that depends upon the tourism industry.

ARTICLE II - FAL&HA QUALIFICATIONS
Section 1. COMPOSITION:
This club membership is comprised of Fredericksburg area persons who have a strong interest in promoting the lodging and hospitality industries in the Fredericksburg Texas area.
Section 2. CLUB EXISTANCE:
This club must have at least ten dues paying members in good standing to exist.
Section 3. MEMBERSHIP:
Any person who demonstrates a strong interest in promoting the lodging or hospitality industry in the Fredericksburg area can be considered for membership. A person becomes a voting member in good standing of FAL&HA after completing the following steps: 1) Attending at least one business meeting before submitting a membership application, 2) Completing a membership application and submitting it to the President or their designee, 3) Receiving an invitation to join FAL&HA based on the recommendation of a quorum of members in good standing attending the meeting. Upon accepting the FAL&HA invitation and submitting all membership dues and fees (if any) to the FAL&HA Treasurer or President, that person becomes a member in good standing. (ref: Articles IV & V).
Section 4. VOTING RIGHTS:
Each voting member (one vote per membership) in good standing shall be entitled to one vote at any meeting. Each vote intended to be cast by proxy must be accompanied by a dated signed statement from the absent voting member stating the person having their proxy and the issue(s) being voted upon. Before voting begins, the proxy statement will be surrendered to the Secretary and entered into the meeting minutes.
Section 5. OFFICERS:
Officers must be selected from the list of FAL&HA members in good standing. In addition, officers must be gainfully employed by and receive at least 50% of their yearly income from the lodging or hospitality industry.
Section 6. ANNUAL REPORT:
Confirmation of this club’s standing to the members shall be in the form of a “Presidents Annual Report” submitted to the membership at the last club full membership meeting of the year. At a minimum, the following items must be addressed in the Presidents Annual Report:
- A list of members and their most current status.
- A list of all club officers and committee chairpersons including titles for the most current year.
- A monthly accounting of all club monies for the most current year.
- A list of the most current year’s club goals.
- A list of the most current year’s club accomplishments.
- A listing of the upcoming years newly elected officers

ARTICLE III - ELECTED OFFICERS
Section 1. TYPES OF OFFICERS:
The regular officers of this club shall be:
- President
- Vice-President
- Secretary
- Treasurer
- Web Sponsor
Officers shall serve for one (1) year or until successors are elected and the have attended their first meeting representing their new position. No member may serve more than two (2) consecutive full terms in the same office; a member may be reelected any number of times to the same office in a lifetime.
Section 2. PRESIDENT:
The President is the primary champion of FAL&HA and shall be the Chief Executive Officer of the Club having the power of general supervision, direction, and control of the business and affairs of the Club.
